SUBJECT: Amendment of Policy B-4, Board of Trustees Bylaws, with related amendments on Officer Roles to B-6 and C-6.

PROPOSED ACTION

That the Board adopt, after any desired changes, the proposed amendments to its bylaws, and change Policies B-6 (Monitoring Policy Compliance) and C-6 (Auditing) to reflect the transfer of responsibility from the Vice Chair to the Secretary in those areas.

RELATED BOARD POLICY OR RESOLUTION

This item is consistent with policies B-1 (Board Policy Principles) and B-2 (Duties and Responsibilities, Board of Trustees).

RATIONALE

The proposed revisions would clarify and expand the officer roles, provide for yearly officer elections, and institutionalize the committee-of-the-whole system. The responsibility for monitoring policy compliance would be shifted from the Vice Chair to the Secretary. The Vice Chair would coordinate the community-linkage activities for the Board (such as the discussions before the Board meetings).

The basic result to be produced by the College, IN CONJUNCTION WITH OTHER COMMUNITY SECTORS, is that (all) service area adults....The words in caps form the base of what needs to go in the bylaws.

The College can only be successful by teaming up with community organizations. The Vice Chair of the ACC Board shall oversee Board level activity in building effective partnerships. This activity will complement, but not replace, the responsibility of the College President.

The Vice Chair will become aware of and plan for the use of other Board members' knowledge and experience in accomplishing the goals.

The College administration will provide current information about other community linkage resources among the College faculty and staff, which can also be called upon to further the goals.

GOALS: (Board will join with the Administration in accomplishing)

gmaintain up-to-date information regarding emerging community needs
gdevelop partnerships for recruiting, as well as social service support, for students
gteam up for grant proposals and implementation
gset Regional goals for education and workforce development to minimize redundancy and to complement strengths

RESULTS:

gmore visibility of Board as Community Leaders (Note: this was called out as a
problem for ACC in the Dini report)
geffective partnerships between College and Community organizations/governmental
entities
gcurrent information regarding emerging community needs
gawareness throughout community of ACC's offerings and goals

The Vice Chair will develop an ACC Board/community linkage plan each year, communicate it to the Board/Administration, and provide f/b as appropriate.

Examples of linkages: ISDs, Governmental agencies, office holders, social service providers, other higher ed. institutions, etc...
